Article 1
The invoice must be paid in cash upon delivery, unless otherwise agreed and explicitly stated on the front of this invoice. Payments made after this deadline or the due date stated on the front of this invoice shall automatically and without notice of default accrue interest at a rate of 12% per year, as well as (also automatically and without notice of default) a lump-sum compensation of 10% of the invoice amount (with a minimum of EUR 50) as a liquidated damage clause. Failure to pay by the invoice due date shall render all invoices, even those not yet due, immediately payable without further notice of default and shall release the seller from any further performance of its obligations.
Article 2
Every order constitutes the customer's acceptance of our terms and conditions, regardless of how the order was placed.
Article 3
By accepting or taking possession of the goods, the buyer expressly acknowledges that the merchandise conforms to the order and is free of any visible defects. The buyer must report any other defects to the seller in writing immediately upon discovery. Complaints regarding the delivered goods or services provided cannot be accepted unless they are submitted to us in writing within seven days of delivery. After this period, the deliveries and invoices are deemed to have been accepted by the buyer without reservation.
Article 4
If the customer terminates or cancels the agreement, or if the agreement cannot be carried out due to the customer’s actions, the customer shall owe us compensation in the amount of 30% of the total order amount (with a minimum of EUR 75).
Article 5
The goods are shipped at the buyer’s expense and risk. Orders of 250 € or more (excluding VAT) are delivered free of charge to your doorstep in Belgium and Luxembourg. For orders under 250 € (excl. VAT), a shipping and handling fee of 15 € (excl. VAT) applies in Belgium and 20 € (excl. VAT) for Luxembourg. For France, delivery is free for orders of 500 € or more (excluding VAT), and a 50 € shipping and handling fee applies to orders under 500 € (excluding VAT).
Article 6
The delivered goods remain our property until the full price (principal, costs, and interest) has been paid. The purchaser assumes the risks upon delivery and must keep the goods in their current condition. All payments will be applied to the oldest outstanding debts by first applying them to costs, interest, and any damages owed, and then to the principal amount.
Article 7
If the invoice is not paid by the due date, interest will be charged by operation of law and without notice of default. This late-payment interest is calculated based on the European Central Bank’s reference interest rate.
Article 8
In addition, without notice of default, the outstanding invoice amount shall be increased by 10 percent, with a minimum of 50 EUR, as a penalty for out-of-court collection costs and contractual damages, without prejudice to other relevant collection costs.
Article 9
All of our products are intended for professional use only.
Article 10
All of our agreements are governed by Belgian law. In the event of a dispute, the courts of Ghent shall have exclusive jurisdiction, unless otherwise required by mandatory law.
